KONSULTAN HUKUM Konsultan hukum adalah seorang tenaga profesional yang menyediakan jasa kepenasihatan atau melaksanakan non-litigasi. Penyelesaian non-litigasi adalah penyelesaian sengketa yang dilakukan menggunakan cara-cara yang ada di luar pengadilan atau yang biasa disebut dengan lembaga alternatif penyelesaian sengketa. Contoh di dalam persidangan pengadilan litigasi, konsultan hukum tidak bisa membantu mewakili klienya, untuk jadi konsultan hukum tidak ada syarat tertentu, asalkan mempunyai latar belakang sarjana hukum dan memiliki pengalaman bidang hukum tertentu. Konsultan hukum harus mempunyai kemampuan analisa untuk membantu masalah hukum klien dan meriset kaedah hukum,Jadi, sangat dituntut menguasai substansi hukum, konsultan hukum harus menguasai pokok masalah klien, konsultan hukum dibutuhkan setiap korporasi. KUASA HUKUM Kuasa hukum bertugas mendampingi klien yang bersangkutan untuk beracara di pengadilan. pendampingan yang dilakukan sesuai kesepakatan ke dua pihak pihak kuasa hukum dan klien yang bersangkutan dan tertuang dalam surat kuasa khusus. Kuasa hukum biasanya diwakili oleh advokat. beda lagi pengertiannya, jika perkaranya di pengadilan pajak. kuasa hukum ini bisa dari kuasa hukumnya dan harus membawa izin kuasa hukum yang resmi dikeluarkan oleh ketua pengadilan pajak. PENGACARA Pengertian dari pengacara sebelum berlakunya undang-undang advokat adalah seseorang yang menjalankan tugas dan peran sebagai suatu kuasa hukum pada proses litigasi perkara hukum yang lingkup kerjanya terbatas pada wilayah Pengadilan Tinggi tempat yang bersangkutan diangkat dan setelah memiliki pengalaman yang cukup dapat diangkat sebagai seorang advokat yang memiliki wilayah kerja di seluruh wilayah Republik Indonesia. ADVOKAT Pengertian Advokat berasal dari UU Nomo 18 tahun 2003 Pada 05 April 2003 tentang Advokat, didalam kententuannya pasal 1 ayat1 ada penjelasan advokat berisi “Advokat adalah orang yang berprofesi memberi jasa hukum, baik di dalam maupun di luar pengadilan yang memenuhi persyaratan berdasarkan ketentuan Undang-Undang ini.”Pasal 78 Peraturan Pemerintah PP Nomor 36 Tahun 2021. Hal ini karena bila dilihat dari segi pertanggungjawaban perdata, bentuk hukum firma lebih berisiko tinggi karena si sekutu dapat dituntut hingga ke harta dasarnya, tidak ada larangan bagi kantor hukum atau kantor advokat di Indonesia untuk memilih bentuk badan usaha selain firma. Namun, memang pada praktiknya, seperti dikatakan notaris Irma Devita, kantor advokat di Indonesia cenderung menggunakan bentuk firma berdasarkan Pasal 16 KUHD. Selain itu, tidak sedikit pula kantor advokat yang memilih bentuk persekutuan perdata atau maatschap berdasarkan Pasal 1618 KUHPerdata atau lihat juga Pasal 1 angka 4 Kepmenhukham No. Tahun 2004. Mohamad Kadri, pendiri dan partner pada kantor advokat/firma hukum AKSET, berpendapat bahwa yang melatarbelakangi kantor-kantor hukum di Indonesia menggunakan bentuk firma adalah karena sudah menjadi tradisi yang diadopsi dari Belanda. Menurut Kadri, dalam perkembangannya beberapa kantor advokat di Indonesia mulai mengadopsi konsep-konsep Perseroan Terbatas “PT”. Kantor-kantor advokat, kata Kadri, mulai melakukan corporatizing yang ditandai antara lain dengan adanya pengalihan tanggung jawab pribadi ke penanggung jawab yang lebih tinggi. Dengan begitu, yang dilihat bukan lagi “orangnya” tapi “kantornya”. Namun, sejauh yang dia ketahui, dalam praktiknya di Indonesia belum ada kantor advokat yang berbentuk itu, menurut Irma Devita, kantor advokat lebih tepat menggunakan bentuk maatschap karena dalam maatschap masing-masing advokat yang menjadi teman serikat bertindak sendiri dan bertanggung jawab secara pribadi lihat Pasal 1642 KUHPer. Pada umumnya, LLP memisahkan tanggung jawab salah satu partner yang melakukan kesalahan atau kelalaian dengan partner lainnya, sehingga tidak menerapkan prinsip tanggung-menanggung seperti pada firma lihat Pasal 18 KUHD. Dalam rangka melebarkan sayap dan menjadi salah satu strategi kantor untuk memperoleh klien lebih banyak berdasarkan rujukan tertentu, law firm di Indonesia kini seperti berlomba menjalin kerja sama dengan law firm asing. Pilihan negaranya pun beragam, mulai dari negara tetangga sampai law firm asal benua lain pun jadi afiliasi firma lokal. Most likely ya karena masalah itu sih,” katanya kepada hukumonline, Senin 25/4. Mayoritas, lanjut Kukuh, lawyer dari luar negeri memiliki cara berpikir yang normatif. “Semuanya by the rule, apa yang tertulis. Sederhananya mereka sangat hukum positif lah. Nah sedangkan di kita, ini kita bicara Indonesia ya. Ada beberapa hal yang sifatnya itu, walaupun kita punya satu peraturan, udah ada hukum positifnya, tetapi tetap lebih banyak mengikuti policy pemegang jabatan,” ia menjelaskan. Pertanyaan kalau memang ini kebijakan, bisa ngga ada satu regulasi tertulisnya?’ kerap diterima oleh Kukuh dan rekan-rekan dari kolega asing mereka. Hal ini yang kurang dapat dipahami bila bekerja sama dengan law firm asing. “Dari situ mereka akan coba mencari solusi, tapi ya kadang menyulitkan klien ya,” curhatnya. Pernyataan di atas kemudian disusul oleh perbandingan yang diberikan oleh Kukuh antara pengalamannya bekerja sama dengan Allen Burt dan Maher Milad Iskandar & Co. Lulusan Fakultas Hukum Universitas Indonesia FHUI ini mengatakan untuk bisa menyamakan cara pandang ini, dengan lawyer Australia agak lebih rumit dibanding dengan lawyer Mesir. Pasalnya, di Australia yang notabene negaranya lebih maju daripada Indonesia, lawyer biasa mengurus segala sesuatunya dengan mudah karena semua tertuang dalam satu peraturan tertulis. Sedangkan Mesir, kata Kukuh, dari segi ketentuannya terutama dalam hukum bisnis, Indonesia masih lebih unggul. “Jadi memang kalau sama negara yang di mana Indonesia itu lebih unggul, mungkin ngga terlalu jadi masalah ya. Nah tapi kalau sama negara yang sistem berpikirnya normatif, kendalanya tuh kayak yang udah saya jelasin tadi,” ungkap Kukuh. Lalu, apa karena berbeda “bahasa ibu”, hal ini menjadi kendala? Kukuh dengan tegas mengatakan tidak. “Dari segi bahasa, jelas itu bukan isu lagi ya. Apalagi di kantorku, associate itu wajib bisa berbahasa Inggris walaupun ngga dipake untuk percakapan sehari-hari juga,” katanya. Hal tersebut pun diamini oleh salah satu founding partner Arfidea Kadri Sahetapy-Engel Tisnadisastra AKSET Law Firm, Abadi Abi Tisnadisastra. Ditemui saat mengumumkan kerja samanya dengan firma hukum asal Jepang Mori Hamada & Matsumoto MHM, Abi mengatakan perbedaan bahasa dan budaya bukanlah masalah. “Bahasa dan budaya bukan segalanya. It’s not on the top of the list. Yang paling utama itu visi misinya, punya visi misi selaras ngga? Kadang-kadang kan kita melihat international firm yang bekerja sama dengan local firm yang tidak berjalan dengan baik, nah mungkin itu karena mereka tidak punya visi misi yang sama,” ujar Abi. Jika law firm Indonesia dan afiliasinya sudah memiliki satu pandangan yang sama, visi misi yang sama, maka permasalahan bisa dihindari. “Kita harus punya mindset dan objective yang sama, gimana caranya supaya kita bisa membantu klien-klien yang ingin berinvestasi di Indonesia dengan baik,” tutup Abi. Untuk diketahui, selain HWMA dan AKSET, hukumonline mencatat ada beberapa firma hukum lagi di Indonesia yang memiliki kerja sama dengan law firm asing.
